Business Partner Terms of Service

These terms govern the use of FinePrintFix's white-label portal product by business customers ("Partners"). By activating a partner portal, you agree to these terms in addition to our standard Terms of Service.

These terms apply specifically to businesses using FinePrintFix's Partner Portal product — the white-label, branded analysis portal made available to your clients. If you are an individual consumer, please refer to our standard Terms of Service.

1. Definitions

"FinePrintFix" refers to the AI-powered document analysis service operated by Jack Nickla, doing business as FinePrintFix.

"Partner" refers to the business entity or individual that has subscribed to the FinePrintFix Partner Portal product and agreed to these terms.

"End User" or "Client" refers to any person who accesses the Partner's branded portal — whether that is the Partner themselves, their employees, or third parties such as customers, subcontractors, or suppliers to whom the Partner has provided portal access.

"Portal" refers to the white-label, branded instance of FinePrintFix made available to the Partner at a subdomain (e.g., partnername.fineprintfix.com).

"Analysis" refers to the AI-generated output produced by FinePrintFix in response to a document upload — including flags, summaries, questions, financial breakdowns, and any other content returned by the service.

"Token" refers to the single-use or limited-use access link generated by the Partner and provided to their Clients to access the Portal for one document analysis.


2. Nature of the service

FinePrintFix is not a legal services provider. The Analysis produced by FinePrintFix is AI-generated informational content only. It does not constitute legal advice, legal opinion, or the practice of law in any jurisdiction. No attorney-client relationship is formed between FinePrintFix and any Partner or End User.

FinePrintFix provides a technology platform that uses artificial intelligence to analyze documents and produce plain-English summaries and observations. The accuracy, completeness, and applicability of any Analysis depends on the quality of the document provided and the capabilities of the underlying AI model at the time of analysis.

AI-generated analysis may contain errors, omissions, or misinterpretations. No Analysis should be relied upon as the sole basis for any legal, financial, or business decision. Partners and their Clients should consult a qualified attorney for any matter with significant legal implications.

Technology provider relationship

FinePrintFix is a technology provider only. In making the Portal available to Clients, the Partner is providing access to a third-party AI tool — not providing legal services, legal advice, or document review services of their own. The Partner must not represent the Portal or its Analysis as their own proprietary legal service.


3. Partner obligations

Accurate representation

The Partner agrees to accurately represent the Portal to their Clients as an AI-powered document analysis tool provided by a third party (FinePrintFix). The Partner must not:

Before providing a Client with access to the Portal, the Partner must ensure the Client is aware that:

Appropriate use

The Partner is responsible for ensuring that the Portal is used only for lawful purposes and in a manner consistent with these terms. The Partner accepts full responsibility for how the Portal is used by their Clients.


4. Client access & token system

Token-based access

Client access to the Portal is controlled through a token system. Each token generated by the Partner entitles one End User to submit one document for analysis. Tokens are single-use — once a document has been analyzed, the token is consumed and cannot be reused.

Token expiry

Tokens expire 7 days after generation, whether used or not. Expired tokens cannot be reactivated. Partners should generate tokens close to the time they intend to share them with Clients.

The Partner is solely responsible for:

Usage quotas

Each Partner plan includes a monthly analysis quota. Both internal analyses (run by the Partner directly) and Client analyses (run via token) count against this quota. When the monthly quota is reached, no further analyses can be run until the quota resets or the Partner upgrades their plan. Overage analyses are available at the per-analysis rate specified in the Partner's plan.

No circumvention

Partners may not attempt to circumvent usage quotas through technical means, including but not limited to creating multiple accounts, sharing account credentials, or any other method intended to obtain analyses beyond those included in their plan without payment.


5. Prohibited uses

Partners may not use the Portal or provide Portal access to Clients for any of the following purposes:


6. Mandatory disclaimer requirements

The following elements must remain visible and unaltered in every Partner Portal at all times. These are non-negotiable and constitute a material term of this agreement:

"Powered by FinePrintFix" attribution

The Portal must display "Powered by FinePrintFix" or equivalent attribution identifying FinePrintFix as the underlying technology provider. This attribution must be visible to End Users before and after document analysis.

AI disclaimer

Every Portal automatically includes the Partner's company name in the disclaimer language: "This analysis is provided by [Partner Name] through FinePrintFix, an AI-powered document analysis tool. It is for informational purposes only and does not constitute legal advice." This disclaimer must appear:

Attorney recommendation

The Portal must recommend that End Users consult a qualified attorney for matters with significant legal implications. This recommendation must appear in the Analysis results.

Acknowledgment checkbox

Before an End User receives their Analysis, they must actively acknowledge (via checkbox or equivalent confirmation) that they understand the Analysis is AI-generated and does not constitute legal advice. This acknowledgment must be logged.


7. Data & privacy

Document handling

Documents uploaded through the Portal — whether by the Partner or by their Clients — are transmitted to the AI analysis engine and immediately discarded. FinePrintFix does not store original documents. Analysis output is retained subject to the standard 90-day content expiry policy.

Data controller responsibilities

The Partner is the data controller with respect to their Clients' personal information. The Partner is responsible for:

Third-party document analysis

Partners must ensure they have appropriate authorization before submitting any document to the Portal that contains information belonging to or about a third party. FinePrintFix assumes no responsibility for unauthorized processing of third-party data.

FinePrintFix as data processor

With respect to End User data processed through the Portal, FinePrintFix acts as a data processor on behalf of the Partner. FinePrintFix processes data solely for the purpose of providing the Analysis and in accordance with these terms and our Privacy Policy.


8. Limitation of liability

To the fullest extent permitted by law, FinePrintFix's total liability to the Partner for any claim arising from or related to the Partner Portal product shall not exceed the total fees paid by the Partner to FinePrintFix in the 30 days immediately preceding the event giving rise to the claim.

FinePrintFix shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from:

The Partner acknowledges that AI-generated analysis is not infallible and that FinePrintFix makes no warranty, express or implied, regarding the accuracy, completeness, or fitness for purpose of any Analysis.


9. Indemnification

The Partner agrees to indemnify, defend, and hold harmless FinePrintFix, its operators, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

10. Billing & usage

Subscription fees

Partner Portal plans are billed monthly in advance. Fees are non-refundable except where FinePrintFix is unable to provide the service due to a technical failure on our part.

Overage charges

Analyses that exceed the monthly quota included in the Partner's plan are billed at the per-analysis overage rate specified in the Partner's plan. Overage charges are billed at the end of each monthly billing cycle.

Plan changes

The Partner may upgrade their plan at any time. Upgrades take effect immediately. Downgrades take effect at the start of the next billing cycle. No prorated refunds are issued for downgrades.

Payment failure

If payment fails, FinePrintFix will attempt to charge the Partner's payment method up to three times over 7 days. If payment is not collected within 7 days of the original due date, the Partner's portal will be suspended. Suspended portals are reactivated upon successful payment. Portals suspended for more than 30 days may be permanently terminated and all associated data deleted.


11. Termination

Termination by Partner

The Partner may cancel their portal subscription at any time. Cancellation takes effect at the end of the current billing period. No refund is issued for the remainder of the billing period.

Termination by FinePrintFix

FinePrintFix may suspend or terminate a Partner's portal immediately and without notice for:

Effect of termination

Upon termination, the Partner's subdomain will be deactivated, all pending tokens will be invalidated, and access to the Partner dashboard will be revoked. Analysis data will be retained for 30 days following termination, after which it will be permanently deleted. The Partner may request an export of their analysis data within this 30-day window.


12. Disputes & governing law

Governing law

These terms are governed by the laws of the State of New York, United States. Any dispute arising from these terms or the Partner's use of the Portal shall be resolved under applicable federal and New York state law.

Informal resolution

Before filing any formal claim, the Partner agrees to contact FinePrintFix at legal@fineprintfix.com and provide 30 days for informal resolution. Most billing and service disputes can be resolved quickly without formal proceedings.

Individual claims only

Any dispute must be brought on an individual basis. The Partner waives any right to bring or participate in a class action, collective action, or representative proceeding against FinePrintFix.

Limitation period

Any claim arising from these terms or the Partner Portal product must be filed within one (1) year of the event giving rise to the claim. Claims filed after this period are permanently barred.

Entire agreement

These Business Partner Terms, together with the standard FinePrintFix Terms of Service and Privacy Policy, constitute the entire agreement between FinePrintFix and the Partner with respect to the Portal product. In the event of any conflict between these Business Partner Terms and the standard Terms of Service, these Business Partner Terms govern.
